We are looking for a part time Corporate Paralegal to support the M&A and Corporate Governance team within our Legal, Compliance and Risk department.
Responsibilities & QualificationsDUTIES & RESPONSIBILITIES:
- Maintain our Canadian subsidiaries and branch offices in good standing.
- Prepare documentation relating to incorporations, organizations, amendments, dissolutions, continuances, share capital, extraprovincial registrations, and other corporate transactions, including due diligence related to mergers and acquisitions.
- Conduct due diligence on minutes books and make the required regularizations.
- Participate in monitoring good corporate governance practices.
- Draft annual corporate resolutions and maintain the company's corporate records, including annual business and extraprovincial registrations and renewals.
- Maintain and update Diligent Entities for Canadian subsidiaries.
- Assist with maintaining professional engineering licenses in various Canadian jurisdictions.
- Grow with the company's needs, which may involve offering support to our international subsidiaries in the UK and Australia.
- Perform other duties as needed.
QUALIFICATIONS:
- Minimum 5 years of experience in a similar highcaliber legal practice.
- Diploma of Collegial Studies (DCS) in Paralegal Technology or equivalent diploma.
- Knowledge of corporate law of multiple Canadian jurisdictions, including British Columbia, Ontario, Alberta and Quebec.
- Excellent oral and written communication skills in French and English.
- Demonstrated ability to communicate in a professional manner with internal clients and team members.
- Aptitude for multitasking and ability to work effectively in a team environment.
- Excellent timemanagement and organizational skills.
- Meticulous and detailoriented.
- Proficient in Microsoft Office Suite (particularly Outlook, Word and Excel).
