IO's Transaction Services and Corporate Legal Enterprise Team provides professional support to all parts of the agency.

Lawyers within the team specialize in services that support infrastructure and commercial projects, construction, real estate and leasing, lending, privacy protection, government affairs, litigation, and contract management.

It is IO's goal to ensure that the Articling Students receive well-rounded articles by gaining experience in different areas of law through IO's rotation system.

This system will also ensure that the student works with a wide variety of lawyers in different areas of practice in the Legal Services division.


What you will do:


  • Conduct legal research in the following legal areas: real estate, corporate/commercial, contracts, torts, administrative, leasing, corporate governance, and freedom of information and privacy
  • Review and conduct a detailed examination/interpretation on federal and provincial statutes and regulations applicable to IO
  • Prepare legal memoranda on discrete legal issues at the request of legal counsel

P3 Transactions & Corporate/Commercial Transactions

  • Assist with the review, consolidation and updating of template documents related to P3 Transactions
  • Shadow legal counsel on an current project file (e.g., attend client meetings, prepare meeting notes, complete discrete deliverables)
  • Assist in drafting a closing procedures manual and other internal procedure documents
  • Assist with various corporate governance matters, including conflicts of interest, delegations of authority, corporate policies
  • Assist in preparation for and participation in negotiation of, detailed examination/interpretation, and drafting related to nontraditional service delivery models and other commercial projects
  • Assist in the detailed examination/interpretation of findings and implementation of commercial resolutions in respect of continuous improvement initiatives for Project Delivery and Commercial Projects

Real Estate Management and Litigation

  • Conduct extensive legal research and provide conduct a detailed examination/interpretation on a variety of matters, including construction liens and contract law
  • Assist in the preparation, review, examination, and interpretation of land title searches and title documents; purchase agreements and closing documents; leases and related lease documentation
  • Attend meetings and take minutes/notes and ensure accuracy of representation and information

Municipal Lending, Secured Transactions, Procurement, and Corporate

  • Assist with various corporate governance matters, including conflicts of interest, delegations of authority, corporate policies
  • Assist in the review and drafting of various documents corporate instruments associated with IO's loan program
  • Conduct legal research on issues relating to freedom of information and privacy, municipal lending, secured transactions
  • Assist with the review and drafting of a wide variety of procurement template documents
  • Assist in preparation for and participation in negotiation of, detailed examination/interpretation, drafting, and review of documentation related to secured transactions
  • Assist in the review of policies, directives, and trade agreements applicable to procurements conducted by IO
  • Conduct research and provide detailed examination and interpretation of findings on a variety of legal and risk matters related to the procurement process from issuance to award of contract

Who we are looking for:


  • Graduate of a common law program offered by a university in Canada approved by the Law Society of Ontario (LSO) at convocation (i.e., have received a Bachelor of Laws (LL.B.) or a Juris Doctor (J.D.) degree) or Holder of a Certificate of Qualification issued by the National Committee on Accreditation (NCA).
  • Relevant experience in real estate, commercial leasing, litigation, corporate/commercial, public and administrative law, and knowledge and appreciation of government operations, will be considered an asset.
  • Excellent oral and written communication skills, including the ability to clearly and concisely present arguments and ideas.
  • Strong legal research, statutory interpretation, writing and examination/interpretation skills.
  • Effective organizational, administrative and time management skills, including ability to handle multiple demands and produce high quality work under strict deadlines.
  • High problemsolving abilities with strong attention to detail.
  • Proficient in the use of Microsoft Office suite of products and legal research tools.
