About the role
We're looking for a Corporate Law Clerk to join our growing team


What you'll do here:


  • Support the Corporate Law Department in relation to their corporate, transactional, IT and Procurement work.
  • Prepare documentation relating to commercial transactional matters (e.g., share purchase, asset purchase and loan agreements).
  • Gather information from internal business teams to prepare nondisclosure agreements, evaluation agreements and other procurementrelated documentation.
  • Maintain corporate books and records.
  • Complete corporate reports and filings with provincial & federal regulatory authorities.
  • Conduct corporate research, due diligence searches (PPSA. Bankruptcy) and updating governmental registries.
  • Answer requests or questions from business units.
  • Provide assistance to counsel in connection with the negotiation of procurement arrangements (including reviews and revisions to schedules, statements of work and other contractual documents).

What you bring to the table:

  • Successful completion of an accredited Law Clerk program and related corporate law and commercial transactional experience is a must, or any combination of equivalent education and experience.
  • 15 years of experience organizing and working with corporate books and records.
  • 15 years of experience working in commercial transactions (including some contract drafting experience).
  • ILCO certification would be considered an asset.
  • Strong time management skills and the ability to prioritize and organize work while effectively managing multiple tasks with conflicting deadlines.
  • Strong computer skills including MS Office (Word, Excel, PowerPoint), Outlook, and CorpLink.
  • Can work well independently and as part of a multidisciplinary team in a fastpaced, high work volume environment.
  • Excellent interpersonal and communication skills (written and oral).
  • Selfmotivated individual that takes initiative and has excellent problemsolving skills.
  • Familiarity with or an interest in technology transactions would be an asset.
