THE ROLE:


Key responsibilities include:


  • Working on large and small private company M&A transactions, including drafting closing agendas, closing documents and assisting in project managing the signing of agreements and closing of transactions.
  • Working on corporate matters including preparing corporate resolutions and other documents in connection with incorporations (BC and CBCA), postincorporation organization, extraprovincial registrations, capital alterations, name changes, continuations, dissolutions, amalgamations (longform and shortform), restorations, share allotments, redemptions, transfers and transmissions, dividend declarations, changes of directors and officers and other corporate transactions.
  • Working on corporate reorganizations, including drafting share exchange agreements, rollover agreements, amalgamation agreements and all related documentation.
  • Reviewing, identifying deficiencies in, and updating corporate records and preparing rectification resolutions and other rectification documents for BC and CBCA companies.
  • Conducting and reporting on corporate searches, Personal Property Registry registrations and other due diligence searches.

Key qualifications include:


  • A minimum of 3 years of office experience (experience in a law firm or inhouse legal department is an asset).
  • Completion of a Paralegal Program or relevant experience in a law firm or inhouse legal department is an asset.
  • Proficient with Microsoft Office Suite.
  • Knowledge of ALF (or other corporate records software).
  • Ability to work individually and prioritize and manage multiple assignments.
  • A desire to grow professionally and be challenged.
  • Excellent organizational skills.
  • Excellent interpersonal skills and ability to work well in a team setting.

From $65,000.00 per year
