Position Summary:

Duties and Responsibilities:

  • Oversee and manage the legal needs of Cboe Global Markets' Canadian subsidiaries, including MATCHNow and NEO Exchange.
  • Work collaboratively with, and provide ongoing guidance, support and legal advice to, senior management and the boards of directors of Cboe's Canadian subsidiaries.
  • Oversight of MATCHNow's and NEO's compliance with applicable securities laws, including the IIROC Rules, the Universal Market Integrity Rules, National Instrument _Marketplace Operation_ and National Instrument _Trading Rules_.
  • Manage Cboe's Canadian subsidiaries' relationships with its regulators, primarily the Ontario Securities Commission and IIROC.
  • Oversee the drafting and maintenance of corporate policies, mandates, procedures and programs of Cboe's Canadian subsidiaries.
  • Oversee the planning and organization of board and committee meetings for Cboe's Canadian subsidiaries, including working with their management teams and board members to develop and circulate meeting agendas and notices.
  • Oversee the preparation and maintenance of corporate documents, resolutions, record books, and corporate and securities law registrations and filings (including National Registration Database filings).
  • Oversee the drafting and maintenance of form agreements and other commercial agreements that may be required by the business from time to time.
  • Research and stay abreast of legal developments and trading industry trends that may impact Cboe's Canadian subsidiaries or Canadian capital market structure. Develop and maintain familiarity with relevant global legal developments and trading industry trends.
  • Where appropriate, coordinate Cboe's submission of comment letters to Canadian regulators in respect of proposed rule changes.
  • Working with external legal counsel as needed, within a budget that will be developed collaboratively with Cboe's senior management team.
  • Other duties that may be assigned in consultation with Cboe's senior management.

Qualifications:

  • Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) or equivalent law degree from an accredited law school in Canada or the United States and current admission to a Canadian provincial bar association.
  • Minimum of 10+ years of relevant experience, with experience in a multijurisdictional setting preferred.
  • Securities or derivatives trading industry experience is an asset.
  • Knowledge of the public listings and private placement process is an asset.
  • Practical problem solver who is selfmotivated with a strong degree of initiative.
  • Strong communication and interpersonal skills to work with a variety of personalities at all levels within the Cboe organization.
  • Proficiency in Microsoft Office Suite (Outlook, Word, Excel and PowerPoint) required.
  • Detail oriented and ability to work in a fastpaced environment.
  • Willingness to travel is an asset.
