What can you expect in this role?

  • Providing support for various governance, regulatory and corporate matters, under the guidance of our General Counsel & Corporate Secretary
  • Coordinating board, committee and shareholder meetings and materials
  • Administration and maintenance of minute books, licensing processes and files, and corporate records
  • Interacting with provincial and federal financial institution regulators concerning corporate licensing and related matters
  • Assisting with SEDAR, SEDI and stock exchange filings
  • Drafting a variety of corporate documents, including corporate minutes, resolutions, notices, etc.
  • Assisting with preparation of corporate and commercial agreements, including nondisclosure agreements and routine contracts, as well as the completion of corporate transactions

What do you bring to the role?

  • Ability to communicate professionally in both verbal and written exchanges with external and internal clients at all levels regarding needs and requests
  • Propensity to maintain a composed, positive and confident attitude while working in a fastpaced environment, with mínimal supervision
  • Ability to work on confidential matters professionally with discretion
  • Ability to manage timelines, adhere to schedules and manage processes
  • A keen attention to detail
  • Minimum 3 years experience as a corporate law clerk within a Canadian financial institution, law firm or public company
  • Expert knowledge of preparation of corporate minutes and maintenance of minute books
  • Previous experience being involved in the corporate secretarial function for a Canadian financial institution, and/or publicly traded company, is highlydesirable
