Legal Counsel - Acquisitions and Divestments

The Opportunity:


Key Accountabilities:


  • Draft and negotiate appropriate sale agreements, using Canadian Natural precedents as a basis combined with the summarized terms in Letter of Intent
  • Negotiate and resolve all outstanding issues with legal counsel or representatives of the other party with respect to title, environmental, rights of first refusal, financial, operational matters etc. as required to finalize the Purchase and Sale agreements and close transactions
  • Maintain a comprehensive and broad knowledge of regulations and statutes, terms and conditions, representations and warranties in agreements and operational matters, as they pertain to A&D
  • Review title documents for due diligence purposes on both acquisition and disposition lands and remedy title on Canadian Natural lands
  • Review all ancillary documentation for closing including, land, joint ventures, marketing, surface documents etc.
  • Prepare rights of first refusal notices and notify appropriate parties; monitor such notices and any contractual obligations under the agreements to ensure closing conditions are met
  • Coordinate the closing efforts of the A&D team and communicate closing dates and issues with internal staff
  • Support the postclosing process with the A&D team including distribution of closing documents to third parties and resolution of postclosing issues as needed

  • Job location: Calgary, Alberta


  • Shift schedule: 5x

  • Monday to Friday, 8 hours per day

Skills & Qualifications:


  • Bachelor of Laws or Judicial Doctorate degree and eligibility for admission to the Law Society of Alberta
  • Three plus years Canadian oil and gas A&D transaction experience
  • Commercial/Corporate A&D or Real Estate experience preferred
  • Experience with QBLM (or similar land database) preferred
