Managing Counsel, Corporate Governance & Assistant Secretary


What is the opportunity?


The Managing Counsel, Corporate Governance & Assistant Secretary will advise and support RBC's Board of Directors and its committees, including the Governance Committee, on a broad range of legal and regulatory matters that impact the Bank, including with respect to corporate governance and corporate and securities laws (such as continuous disclosure matters).

You will be responsible for all aspects of RBC's annual meeting of shareholders, including drafting the management proxy circular and preparing for and organizing the meeting.

You will provide advice on stakeholder engagement strategies, including with respect to shareholders, regulators and proxy advisory firms and participate in meetings with these stakeholders.


What you will do?

  • Leads the preparation and distribution of the management proxy circular, including managing timelines, recommending content, legal review, negotiations with shareholders and drafting responses to shareholder proposals and preparation for submissions to Disclosure Committee, and the RBC Board and its committees, as appropriate
  • Supports RBC in advancing the effectiveness of its corporate governance, including related disclosures, through continued development of RBC's corporate governance framework, policies and processes
  • Supports RBC's compliance with corporate governancerelated regulatory requirements and provides advice and counsel to the enterprise and Board on evolving legislative and regulatory matters that impact corporate governance matters. The role also contributes to RBC's effective response to analysts, shareholders and other stakeholders on governance issues
  • Supports the oversight and management of the annual meeting of shareholders, including coordination and preparation of materials, coordination and management of timelines, liaising with relevant stakeholders (Corporate Communications, Investor Relations, Event Planning, CEO's office, transfer agent, etc.), preparation of participants, drafting of minutes and related regulatory filings
  • Supports the Governance Committee of the Board by providing strategic planning and operational support including developing the Governance Committee's work plan and meeting agendas; managing internal processes that support the Committee's priorities and providing the Committee and key stakeholders with relevant research and information necessary to support the Committees mandate

Must Have

  • 10+ years' experience; ideally, (i) 3+ years' of securities and corporate governance/compensation law experience at an external firm and (ii) 4+ years of inhouse counsel experience
  • LLB, called to the Bar of a Canadian province, membership in applicable law society or bar association
  • Securities law/corporate governance law knowledge
  • Ability to impact and influence, Solutionsoriented, Able to work collaboratively with sound judgement, Clientfocused and ability to supervise others
