    Senior Legal Counsel- Technology

    Hybrid Work- on average 3 days/week from office

    Summary:

    The ideal candidate will have a strong background in technology and digital work and will support the global remit of the Corporate Legal group across a range of transactions. Whilst the focus is technology based deals, the role will require working in other areas supported by Corporate Legal, including supply chain and business development projects.

    Typical Accountabilities:

    • Advising on technology, digital and IT deals across the AZ business, including SaaS, Technology Licenses, Evaluation Agreements, Global MSAs.
    • Above work may include enterprise wide global deals through to smaller 'proof of concept' engagements, involving AI/ML and emerging technologies.
    • Negotiating, drafting, and delivering pragmatic risk based advice to assigned transactions, helping develop supporting policies and governance across technology and digital areas.
    • Targeted training to drive capability uplift across AZ.
    • Providing strategic advice to senior stakeholders, including SET / SET-1, CIO and CISO.
    • Legal support to cyber incidents, including advising on good document practice.
    • Using legal technology to drive efficiencies across Corporate Legal, including contract automation.
    • As a member of Corporate Legal, advising on assigned corporate transactions, which may include supply chain deals and business development matters - including licensing arrangements (in and out), collaboration agreements, acquisitions and divestments.
    • Collaborating with the Global Legal group, including the intellectual property group, ensuring a consistent approach to contracting and mitigating legal risks to ensure a seamless service to stakeholders.
    • Supporting the delivery of appropriate level of service from external counsel, including aggressively managing costs on matters for which external counsel is retained.

    Essential Skills/Experience:

    • Bachelor of Laws (LL.B.) or a Juris Doctor (J.D.)
    • Member in good standing with the Law Society of Ontario (must retain status)
    • 5+ years of legal practice experience as a licensed lawyer, particularly in technology, digital and IT related matters
    • Experience and comfort advising on US contracts
    • Experience working in a global legal environment
    • Excellent interpersonal and communication skills to explain complex legal issues in an easy to understand manner
    • Business oriented and pragmatic approach to problem solving
    • Skill in analyzing and solving issues related to a wide variety of substantive legal areas

    Preferred Skills/Experience:

    • Pharmaceutical or other regulated industry experience highly desirable
    • Experience working in-house in a multinational company
    • Data privacy experience
    • Experience supporting software as a medical device (SaMD) deals
    • Experience supporting a Global Procurement organisation
    • Experience working with English law contracts and common law jurisdictions
