Primary Responsibilities

  • Drafting under the supervision of lawyers and other senior law clerks, various finance and corporate documents including: guarantees, security agreements, closing agendas, officer's certificates, resolutions, documents for various types of financing transactions;
  • Drafting and filing various _Personal Property Security Act_ registrations, amendments, etc.
  • Assisting with due diligence including but not limited to a review and summary of material contracts;
  • Assisting lawyers and other law clerks on complex transactions;
  • Attending meetings with clients, lawyers and other law clerks to review documents and provide technical assistance and expertise;
  • Conducting due diligence and preparing reports outlining issues and deficiencies;
  • Assisting with all aspects of closings;
  • Assisting with collection and drafting of checklists and precedents; and
  • Assisting the Team Lead with mentoring and training of junior clerks, coordinators, junior lawyers and students.

Required Knowledge and Experience

  • College diploma in Law Clerk Studies (University Degrees is an asset);
  • 35 years of relevant working experience is an asset;
  • Member in good standing with the Institute of Law Clerks of Ontario would be an asset;
  • Proficient knowledge with computers; and
  • Strong organizational, communication and interpersonal skills.

Reporting


The role will reporting to the Senior Director, Paraprofessional Ontario and Banking & Finance Department Team Lead, this position acts as part of a transaction team within our Banking & Finance Department and as such also accountable directly to the Partners.
