    About the Company

    Forge Recruitment is pleased to partner with a leading Western Canadian regional law firm with offices in Toronto, Vancouver and Calgary providing a full-range of legal expertise. About the Role

    Our client is seeking an intermediate Paralegal in the Vancouver office. The preferred candidate will have experience with corporations/LP structuring & restructuring, transactional work, real estate & leasing, contract drafting, minute books and M&A work.

    An ideal candidate is someone with experience in corporate/commercial/real estate law who thrives in a collaborative team environment and is focused on achieving results.

    Responsibilities:
    • Drafting, reviewing, and revising commercial contracts, agreements, disclosure schedules, closing documents and other documentation;
    • Preparing, compiling, organizing and filing relevant documents and information, ensuring all required documents are executed and delivered;
    • Researching and ensuring compliance with relevant laws and regulations;
    • Assisting in transaction closings and post-merger integration;
    • Complying with antitrust, securities, and other relevant regulations;
    • Handling post-closing matters, such as document retention and distribution;
    • Draft corporate resolutions, notices, agreements and other ancillary documents in connection with complex transactions;
    • Draft complex share provisions and documents pertaining to corporate and tax reorganizations (ITA ss 51, 85, 86, 97), financings and share or asset purchase transactions;
    • Draft documents relating to incorporations, organizations, amalgamations, amendments/alterations, rollovers, redemptions, annual proceedings, dividends, continuances, dissolutions, revivals, extra-provincial registrations across Canada, licenses, limited partnerships and business names;
    • Conduct corporate searches, minute book reviews and prepare reports. Analyze corporate charter documents and corporate records to ensure compliance with governing statutes and make recommendations on relevancy and remedial actions;
    • Maintain and review corporate records, securities ledgers and registers, including uploading executed documents to virtual minute books;
    • Perform thorough due diligence investigations on properties, such as title searches, lien searches, zoning verifications, and environmental assessments. Summarize findings and provide relevant information to attorneys;
    • Document Preparation: Assist in drafting and reviewing various legal documents, including contracts, leases, purchase agreements, deeds, and other real estate transactional documents. Ensure accuracy, completeness, and adherence to legal requirements;
    • Transactional Support: Collaborate with attorneys and clients throughout the entire real estate transaction process. Prepare closing checklists, coordinate with other parties involved, organize and review documents, and ensure all necessary paperwork is completed accurately and on time;
    • Client Communication: Communicate with clients, real estate agents, lenders, and other relevant parties to gather information, provide updates, and answer inquiries related to real estate transactions. Maintain professional and prompt communication to ensure excellent client service;
    • File Management: Establish and maintain organized physical and electronic filing systems for real estate documents. Manage and update databases, track critical dates, deadlines, and document versions;
    • Court Filings: Assist attorneys in preparing and filing legal documents with the appropriate courts or government agencies, such as property liens, foreclosures, or evictions.

    What You Bring
    • 3+ years' of paralegal experience working in corporate/commercial/real estate law;
    • Effective time management and organizational skills and ability to follow instructions;
    • Proven track record to run files with minimum supervision;
    • A paralegal certificate or diploma;
    • Results-oriented team player with strong analytical skills;
    • Proficiency with Microsoft applications (Outlook, Word, Excel, Teams, etc.);
    • Knowledge of iManage and Elite would be an asset.
