    Forge Recruitment is pleased to partner with a leading Western Canadian regional law firm with offices in Toronto, Vancouver and Calgary providing a full-range of legal expertise.

    About the Role Our client is seeking an intermediate Paralegal in the Vancouver office.

    The preferred candidate will have experience with corporations/LP structuring & restructuring, transactional work, real estate & leasing, contract drafting, minute books and M&A work.

    An ideal candidate is someone with experience in corporate/commercial/real estate law who thrives in a collaborative team environment and is focused on achieving results.

    Drafting, reviewing, and revising commercial contracts, agreements, disclosure schedules, closing documents and other documentation;
    Researching and ensuring compliance with relevant laws and regulations;
    Draft corporate resolutions, notices, agreements and other ancillary documents in connection with complex transactions;
    Draft complex share provisions and documents pertaining to corporate and tax reorganizations (ITA ss 51, 85, 86, 97), financings and share or asset purchase transactions;
    Draft documents relating to incorporations, organizations, amalgamations, amendments/alterations, rollovers, redemptions, annual proceedings, dividends, continuances, dissolutions, revivals, extra-provincial registrations across Canada, licenses, limited partnerships and business names;
    Conduct corporate searches, minute book reviews and prepare reports. Analyze corporate charter documents and corporate records to ensure compliance with governing statutes and make recommendations on relevancy and remedial actions;
    Maintain and review corporate records, securities ledgers and registers, including uploading executed documents to virtual minute books;

    Assist in drafting and reviewing various legal documents, including contracts, leases, purchase agreements, deeds, and other real estate transactional documents.

    Ensure accuracy, completeness, and adherence to legal requirements;
    Manage and update databases, track critical dates, deadlines, and document versions;

    Assist attorneys in preparing and filing legal documents with the appropriate courts or government agencies, such as property liens, foreclosures, or evictions.

    ability to work from home one day per week

    early departure on the Friday before long weekends;
    flexible work arrangement options.
    3+ years' of paralegal experience working in corporate/commercial/real estate law;
    ~ Proficiency with Microsoft applications (Outlook, Word, Excel, Teams, etc.);
    ~ Knowledge of iManage and Elite would be an asset.
