    Associate Director, Board Services - Toronto, Canada - Equitable Bank

    Description
    Core Responsibilities:
    • Board Services
    • Lead the implementation and execution of corporate and business governance arrangements for all Board and Committee meetings.
    • Regularly benchmark director compensation and share ownership requirements.
    • Organize, attend, and take minutes of board and committee meetings.
    • Monitor and evaluate Board governance policies and processes.
    • Support onboarding of new directors.
    • Manage necessary arrangements for outgoing Directors.
    • Administer the board portal (Diligent).
    • Craft resolutions reflecting board decisions.
    • Oversee Directors' remuneration and expense processes.
    • Maintain governance documents and director bios.
    • Design and distribute board assessment questionnaires.
    • Maintain workplans for the Board and committees.
    • Plan and execute annual shareholder meetings.
    • Coordinate director education processes.
    • Liaise with proxy advisory firms.
    • Subsidiary Governance
    • Organize and take minutes of subsidiary board meetings.
    • Produce subsidiary governance reports.
    • Oversee registration and licensing of subsidiaries.
    • Maintain workplans for subsidiary Boards.
    • Monitor best practices in subsidiary governance.
    • Corporate Services
    • Fulfill all statutory reporting and compliance requirements.
    • Manage insider reports and public company filings.
    • Draft documentation for corporate transactions.
    • Monitor shares reserved for incentive plans.
    • Liaise with transfer agents and stock exchanges.
    • Collaborate on public disclosure requirements.
    • Respond to requests for corporate information and records.
    • Others
    • Manage, mentor, and train junior team members.
    • Document controls and processes.
    About You:
    • University/college degree.
    • 10-15 years of corporate governance experience.
    • Knowledge of governance matters and legal requirements.
    • Understanding of compliance rules and regulations.
    • Excellent organizational and communication skills.
    • Ability to work with all levels of organization.
    • Sensitivity and intuition toward CEO and directors.
